2. Ratification of Appointment of
Independent Public Accountants
The Audit Committee, comprised of independent members of the Board, has appointed
PricewaterhouseCoopers LLP as independent public accountants of the Company with
respect to its operations for the year 2003, subject to ratification by the
holders of Common Stock of the Company. In taking this action, the Audit
Committee considered carefully PricewaterhouseCoopers LLP's performance for the
Company in that capacity since its retention in 2002, its independence with
respect to the services to be performed and its general reputation for adherence
to professional auditing standards. Representatives of PricewaterhouseCoopers
LLP will be present at the Annual Meeting to make a statement if they desire to
do so. They will also be available to answer appropriate questions from
stockholders.
Because the members of the Audit Committee value stockholders' views on the
Company's independent public accountants, there will be presented at the Annual
Meeting a proposal for the ratification of the appointment of PricewaterhouseCoopers
LLP. The Audit Committee believes ratification is advisable and in the best
interests of the stockholders. If the appointment of PricewaterhouseCoopers
LLP is not ratified, the matter of the appointment of independent public
accountants will be considered by the Audit Committee.
The Audit Committee of the Board of Directors recommends a vote
FOR this proposal.
